By accessing and using the website uptrail.io and our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use our website or services. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Uptrail provides marketing and agentic operations services, including but not limited to AI automation, custom in-house tools, growth marketing, and project management systems. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for:

• -Ensuring that all persons who access the services through your internet connection are aware of these Terms and comply with them.
• -Maintaining the confidentiality of any account credentials used to access our platforms.
• -Providing accurate and complete information when engaging with our team or using our tools.

4. Intellectual Property

The Service and its original content, features, and functionality (including but not limited to text, software, scripts, graphics, and logos) are and will remain the exclusive property of Uptrail and its licensors. Our intellectual property may not be used in connection with any product or service without the prior written consent of Uptrail.

5. User Content

In the course of using our services, you may provide data or content. You retain all of your ownership rights in your content. However, by providing content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process that content solely for the purpose of providing services to you.

6. Payment Terms

If you engage Uptrail for paid services, payment terms will be outlined in a separate Statement of Work (SOW) or service agreement. Unless otherwise specified, all fees are non-refundable and payable in the currency stipulated in the agreement. Failure to make timely payments may result in the suspension of services.

7. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

In no event shall Uptrail, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
